Terms of Use

These Terms of Use ("Terms") govern your access to and use of arxetic.com, its account system, and any other online services that link to these Terms (collectively, the "Services"). The Services are operated by Arxetic ("Arxetic," "we," "us," or "our").

By accessing or using the Services, creating an account, or otherwise indicating acceptance, you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You must be legally able to enter into a binding agreement to create an account. The Services are not directed to children under 13, and you may not use them if you are under 13.

When you create an account, you agree to provide accurate, current information and to keep it current. You are responsible for maintaining the confidentiality of your password and any account access you use, for all activity that occurs through your account except where caused by our failure to use reasonable security measures, and for promptly notifying us at contact@arxetic.com if you believe your account has been accessed without authorization.

Do not share your account, use another person's account without permission, create an account using false information, or attempt to impersonate another person or entity. We may suspend or close an account when we reasonably believe these Terms, security, law, or the integrity of the Services requires it.

Arxetic is a fashion and creative-culture brand. The Services currently include editorial content, collection information, an account system, and a contact channel for questions and support.

We aim to present product descriptions, materials, edition information, and imagery accurately. However, colors and finishes may appear differently depending on your screen or device, product dimensions and fit may be approximate unless stated otherwise, and availability, specifications, and features may change without notice. Typographical or description errors may occur; we may correct them where reasonably possible.

A product's physical quality and the description displayed for its specific release are primary. We will not represent an item as "limited," "verified," or otherwise identity-enabled unless the applicable release policy or system in place actually supports that claim.

Ordering, payment processing, and shipping are not currently enabled on the Services. This section describes the general principles that will apply if and when Arxetic enables ordering through the Services; it does not imply that checkout is available today.

If ordering is enabled, an order submitted through the Services will be an offer to buy the listed product, and an order confirmation will indicate that we received the order, not necessarily that we accepted it. We may accept, reject, limit, or cancel an order for legitimate reasons, including suspected fraud, inventory error, payment failure, or a clear pricing or product error, and will issue any required refund through the original payment method.

If payment processing is enabled, we will use an independent, reputable payment processor and will not store full payment-card details on our own systems. Prices, currency, shipping charges, and applicable taxes will be disclosed at or before checkout, and you will be responsible for any taxes, duties, or fees disclosed at that time or imposed by the destination jurisdiction, except where law requires otherwise.

Returns, exchanges, cancellations, and refunds will be governed by the return or refund policy displayed at the point of sale, if one is made available, which will be incorporated into these Terms by reference. Nothing in these Terms limits a non-waivable consumer right under applicable law.

Some Arxetic pieces are released as small, numbered, or otherwise limited batches. A stated quantity or edition size applies only to the specific release described and is not a promise that Arxetic will never create other designs, colorways, or future releases.

Arxetic products are made for personal enjoyment, wear, and collection, not as an investment. We do not promise appreciation, resale demand, or financial return on any product.

Arxetic does not currently operate a live, automated product-identity or verification system through the Services. If Arxetic makes such a feature available in the future, we will disclose its applicable rules at that time, and any verification result will reflect only that our system recognized the submitted identifier according to the current rules. It will not be a guarantee of item condition, chain of custody, legal title, or future service availability.

If you have a question about a physical product feature on an Arxetic garment, you can reach us at contact@arxetic.com. Do not tamper with, copy, reverse engineer, or attempt to defeat any identity feature or its security controls on a product.

Section 2 already covers account registration on the Services today. Beyond that, Arxetic does not currently operate community events, partner offers, loyalty or membership programs, ownership-transfer, wallet, digital-collectible, or marketplace features through the Services. References to these additional categories in these Terms are conditional and future-facing: if Arxetic makes such a feature available, we will state its applicable rules, and participation will be discretionary, may have capacity or eligibility limits, and may be modified, paused, or discontinued.

A benefit described in this section is never guaranteed merely because you own a product or have an account. An Arxetic platform record, if one is ever introduced, would not by itself be legal title, proof of authenticity outside our system, or a promise of transferability or resale value.

You may use the Services only for lawful, personal, non-commercial purposes consistent with these Terms. You must not, and must not help another person to: violate any law or third-party right; circumvent access controls, authentication, or security measures; probe, scan, scrape, crawl, or extract data from the Services without our prior written authorization; use bots, scripts, or automation to interfere with an account system, waitlist, or fair access to the Services; resell, rent, or commercially exploit the Services without our written permission; upload or transmit content that is illegal, infringing, deceptive, defamatory, or harmful; introduce malware or disruptive code; or falsely suggest affiliation with Arxetic.

We may investigate suspected misuse and take appropriate action, including restricting access, reporting conduct to relevant authorities, or pursuing available legal remedies.

The Services and their contents, including the Arxetic name, logos, designs, product names, text, photographs, graphics, software, and collection concepts, are owned by or licensed to Arxetic and protected by applicable intellectual-property laws.

Subject to your compliance with these Terms, Arxetic gives you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial use. This license does not grant a right to reproduce, distribute, modify, publicly display, or otherwise exploit any portion of the Services without our prior written permission. Product ownership does not grant intellectual-property rights in the artwork, design, or brand materials associated with that product.

If you believe material on the Services infringes your copyright, contact us at contact@arxetic.com with enough information to identify the work and the allegedly infringing material.

If you contact us through the Services, you retain ownership of the rights you already hold in what you send us. You grant Arxetic a non-exclusive, royalty-free license to use that message only as reasonably necessary to respond to you and operate the Services. Feedback you send us voluntarily may be used to improve the Services without further obligation to you, but this does not give Arxetic ownership of your general ideas merely because you sent them to us.

Do not send us confidential information you do not want us to use, and do not include passwords or payment details in a message.

The Services may link to or rely on third-party providers to operate, including hosting, database, authentication, and email-delivery providers. We do not control independent third-party services and are not responsible for their content, availability, or practices. A link or mention does not mean Arxetic endorses a third party unless we expressly say so.

Our Privacy Notice explains how we collect, use, store, and protect personal information in connection with the Services. By using the Services, you acknowledge that you have read the Privacy Notice.

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Arxetic does not warrant that the Services will be uninterrupted, secure, error-free, or compatible with every device.

To the maximum extent permitted by law, Arxetic disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section excludes a warranty, right, or remedy that cannot lawfully be excluded or limited.

To the maximum extent permitted by applicable law, Arxetic and its officers, employees, affiliates, licensors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, data, or business interruption, arising from or related to the Services or these Terms, even if advised that such damages were possible.

To the maximum extent permitted by law, Arxetic's total liability for claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid directly to Arxetic for the specific product or Service giving rise to the claim during the 12 months before the event giving rise to liability, or (b) USD $100. These limitations do not apply where prohibited by law and do not limit liability for fraud or willful misconduct.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Arxetic and its officers, employees, affiliates, licensors, suppliers, and service providers from claims, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Services, your violation of these Terms, or your violation of another person's rights or applicable law.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise. Before filing a formal claim, please contact us at contact@arxetic.com and describe the issue and the relief you seek; we will try in good faith to resolve the dispute informally.

The specific court venue for any proceeding is a placeholder pending attorney review and is not yet finalized in these Terms. Nothing in these Terms prevents either party from seeking emergency relief, including for unauthorized access or security harm, in a court of competent jurisdiction. These Terms do not include an arbitration clause or class-action waiver.

We may modify the Services, suspend access, or discontinue a feature when reasonably necessary for operations, security, legal compliance, or business development. We will not use a service change to avoid an obligation already owed to you.

We may update these Terms from time to time. The revised Terms become effective when posted with an updated "Last updated" date. If a change is material, we will provide additional notice where required by law or reasonably appropriate. Your continued use after the effective date means you accept the updated Terms.

Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions, will survive.

These Terms, together with the Privacy Notice, are the entire agreement between you and Arxetic concerning the Services, except for any separate written agreement signed by Arxetic. If a court finds any provision unenforceable, that provision will be enforced to the maximum extent allowed and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.

You may not assign or transfer these Terms without our written consent; we may assign them in connection with a merger, financing, or transfer of the Services, subject to applicable law.
